1. Introduction and acceptance

These General Terms and Conditions (“Terms”) govern your access to and use of manishasonline.com (the “Site”) and any order you place with Manisha Bakery and Sweets LLC (“we”, “us”, “our”). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

3. Eligibility

By placing an order, you confirm that you are at least 18 years old or are otherwise legally capable of entering into a binding contract under UAE law, and that the information you provide to us is accurate and complete.

4. Products
  • We take reasonable care to describe our products, including ingredients, weight, and pack size, as accurately as possible. Product images are for illustration and may vary slightly from the item delivered.
  • Product availability is not guaranteed and may change without notice. If an item you ordered becomes unavailable, we will contact you to offer a substitute, a partial refund, or a full refund.
  • Please read ingredient and allergen information carefully before ordering if you have any dietary restrictions or allergies. Our kitchen handles common allergens including nuts, gluten, and dairy.
5. Prices and payment
  • All prices on the Site are shown in UAE Dirhams (AED) and are inclusive of Value Added Tax (VAT) where applicable, in line with Federal Decree-Law No. 8 of 2017 on VAT, unless stated otherwise.
  • We reserve the right to correct pricing errors on the Site and will inform you before processing your order if a pricing error affects it.
  • Payment must be made in full through one of the payment methods offered at checkout. Card payments are processed securely by our third-party payment gateway; we do not store your full card details.
  • Any promotional discount will remain valid for the period stated in the offer, consistent with UAE consumer protection requirements on advertised discounts.
6. Order acceptance

An order confirmation email or message acknowledges that we have received your order; it does not by itself constitute our acceptance of it. A contract between us is formed only once we confirm that your order has been accepted and is being prepared for dispatch. We may decline or cancel an order, for example due to stock unavailability, a pricing or listing error, or a failed payment, in which case we will notify you and refund any amount already paid.

7. Delivery
  • We deliver to the areas listed on the Site at the time of checkout. Delivery timeframes shown at checkout are estimates and not guaranteed; we will notify you of any significant delay and, where the delay is significant, you may cancel the affected order for a full refund.
  • Delivery charges, including any promotional delivery rate (such as a reduced rate on orders above a stated minimum), are shown at checkout before you complete payment.
  • Risk in the products passes to you upon delivery to the address you provided, or upon collection if you have chosen store pickup.
  • Please ensure someone is available to receive perishable orders at the scheduled time; we are not responsible for spoilage caused by a failed delivery attempt where correct delivery details and availability were not provided.
8. Cancellations, returns, and refunds

Cancellations, returns, and refunds are governed by our separate Refund and Return Policy, which forms part of these Terms.

9. Your account
  • If you create an account on the Site, you are responsible for maintaining the confidentiality of your login details and for all activity under your account.
  • You must notify us promptly if you become aware of any unauthorised use of your account.
10. Acceptable use

When using the Site, you agree not to:

  • Use the Site for any unlawful purpose or in a way that violates UAE law, including Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes.
  • Attempt to gain unauthorised access to the Site, its systems, or other users’ accounts.
  • Post or transmit any content that is defamatory, obscene, or infringes the rights of others.
  • Use automated means to scrape, copy, or extract content from the Site without our written permission.
11. Intellectual property

All content on the Site, including text, images, logos, and the “Manisha’s Kitchen”, “Aishwarya Masalas and Spices” and “Manisha Bakery” names and marks, is owned by or licensed to us and is protected by UAE and international intellectual property law. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

12. Third-party channels

We may allow orders to be placed through third-party channels such as WhatsApp Business. These Terms apply to orders placed through those channels in the same way as orders placed directly on the Site, except where separate terms are agreed in writing.

13. Limitation of liability

To the fullest extent permitted by UAE law, we are not liable for any indirect, incidental, or consequential loss arising from your use of the Site or your order, except where such loss results from our fraud, wilful misconduct, or gross negligence, or where liability cannot lawfully be excluded under UAE consumer protection law. Nothing in these Terms limits any right you have as a consumer that cannot lawfully be excluded or limited.

14. Indemnity

You agree to indemnify and hold us harmless against any claims, losses, or expenses arising from your breach of these Terms or your misuse of the Site.

15. Force majeure

We are not liable for any delay or failure to perform our obligations caused by circumstances beyond our reasonable control, including natural disasters, extreme weather, government action, or disruption to supply or delivery networks.

16. Governing law and jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and, to the extent applicable, the laws of the Emirate of Dubai. Any dispute arising from these Terms or your use of the Site shall first be addressed through our customer service team, and if unresolved, may be referred to the UAE Ministry of Economy / Department of Economic Development consumer protection complaint process, or ultimately to the competent courts of Dubai, UAE, which shall have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you may have to bring a claim in your home jurisdiction.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable under UAE law, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18. Entire agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Refund and Return Policy, constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements or understandings.

19. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “last updated” date, and continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
